CARMEPX respects your privacy. This Privacy Policy explains how CARMEPX (“CARMEPX,” “we,” “us,” or “our”) collects, uses, discloses, retains, and protects personal information when you visit the CARMEPX website, submit an inquiry, request or purchase a vehicle inspection, communicate with us, receive an inspection report, or otherwise interact with CARMEPX.
This Privacy Policy applies to CARMEPX only. It does not identify CARMEPX as part of any other business. Paid vehicle-inspection services are also governed by the CARMEPX Vehicle Inspection Terms of Service and related service policies.

1. Scope and Key Definitions
This Privacy Policy applies to personal information processed by CARMEPX through its website, booking forms, customer-support channels, inspection workflow, reports, payment process, mobile or web applications, and service communications. It does not apply to information processed solely by an unrelated third party under that party’s own privacy policy.
Personal information: information that identifies, relates to, describes, is reasonably capable of being associated with, or could reasonably be linked to an individual or household. Personal information does not include information that is lawfully public, aggregated, or deidentified so that it cannot reasonably be linked to an individual.
Client: the person who requests, purchases, receives, or uses a CARMEPX inspection service or report.
Seller: a private owner, dealership, auction, consignor, employee, representative, or other person who controls or provides access to a vehicle.
Service Provider: a company or person that processes information for CARMEPX under instructions or provides hosting, booking, payment, communications, analytics, inspection, security, storage, or related operational services.
2. Personal Information We Collect
Depending on how you interact with CARMEPX, we may collect the following categories of personal information:

CARMEPX does not request Social Security numbers, financial-account passwords, or unrelated medical information through ordinary booking or inspection forms. Please do not submit highly sensitive information unless CARMEPX specifically requests it for a lawful and necessary purpose.
3. Sources of Personal Information
CARMEPX may obtain personal information from:
- You, including through website forms, checkout, phone calls, text messages, email, account activity, and uploaded documents.
- A Seller, dealership, vehicle owner, authorized representative, or another person involved in the requested inspection.
- CARMEPX Inspectors, employees, contractors, and quality-control personnel.
- Your browser, device, cookies, analytics technologies, and website hosting or security systems.
- Payment processors, booking platforms, communications providers, cloud-storage providers, and other Service Providers.
- Publicly available sources, vehicle listings, government databases, recall resources, or records that you ask CARMEPX to review, when permitted by law.
4. How We Use Personal Information
CARMEPX may use personal information to:
- Provide, schedule, coordinate, perform, document, review, and deliver vehicle-inspection services and reports.
- Contact Clients, Sellers, dealerships, Inspectors, and other authorized persons about appointments, access, delays, reports, refunds, or service issues.
- Process payments, refunds, credits, disputes, invoices, chargebacks, and accounting records.
- Confirm identity, authenticate requests, maintain accounts, record acceptance of policies, and prevent fraud or unauthorized use.
- Generate reports, photographs, inspection histories, quality-control records, and operational documentation.
- Operate, secure, troubleshoot, analyze, personalize, and improve the website, applications, forms, reports, and inspection process.
- Send service-related communications and, where permitted and separately consented to when required, marketing communications.
- Comply with laws, subpoenas, court orders, government requests, insurance obligations, tax rules, recordkeeping duties, and legal claims.
- Protect the safety, rights, property, and security of CARMEPX, Clients, Inspectors, Sellers, the public, and Service Providers.
- Create aggregated or deidentified information for lawful analytics, training, planning, and service improvement, provided the information is not reasonably capable of identifying an individual.
5. How We Disclose Personal Information
CARMEPX may disclose personal information only as reasonably necessary for the purposes described in this Policy, including to the following categories of recipients:
Inspectors and operational personnel: to assign, perform, document, review, and complete an inspection.
Sellers, dealerships, and vehicle-access contacts: to coordinate access, confirm appointments, identify the vehicle, and communicate inspection requirements. CARMEPX ordinarily limits these disclosures to what is needed for coordination.
Technology and business Service Providers: including website hosting, cloud storage, form and booking tools, database providers, payment processors, email and SMS providers, mapping services, analytics services, cybersecurity providers, and customer-support systems.
Professional advisers: including attorneys, accountants, insurers, auditors, and consultants when reasonably necessary.
Government authorities and legal recipients: when required by law or when reasonably necessary to protect rights, safety, property, prevent fraud, respond to legal process, or enforce agreements.
Business transaction recipients: in connection with a financing, reorganization, merger, acquisition, sale of assets, transfer, or similar transaction involving CARMEPX, subject to appropriate confidentiality and legal protections.
Persons you direct or authorize: including a spouse, lender, mechanic, dealer, insurer, attorney, or other recipient that you ask CARMEPX to contact or provide a report to.
CARMEPX does not authorize Service Providers to use personal information for purposes unrelated to the services they provide to CARMEPX, except as permitted by law and their applicable agreements.
6. Sale, Sharing, and Targeted Advertising
CARMEPX does not sell personal information for money. CARMEPX does not knowingly sell or share the personal information of children under sixteen years of age.
CARMEPX may use analytics, advertising, or social-media technologies that receive online identifiers and website activity. Some state privacy laws may define certain disclosures for cross-context behavioral advertising or targeted advertising as a “sale” or “sharing,” even when no money is exchanged. If CARMEPX engages in a practice that is legally treated as a sale, sharing, or targeted advertising, CARMEPX will provide a clear notice and an available opt-out method as required by applicable law.
You may submit an opt-out request through the privacy request form at www.carmepx.com/privacy-request or by emailing privacy@carmepx.com. Where legally required and technically supported, CARMEPX will also process recognized browser-based opt-out preference signals, such as Global Privacy Control, as a request to opt out for the browser or device sending the signal.
7. Payments and Financial Information
Payment-card transactions are processed by third-party payment processors. CARMEPX may receive transaction identifiers, payment status, card type, limited card details, billing information, fraud signals, and refund information, but CARMEPX does not intend to receive or store full payment-card numbers or security codes. Payment processors process payment data under their own privacy notices and security practices.
8. Cookies and Online Tracking
CARMEPX and its Service Providers may use cookies, pixels, tags, local storage, session technologies, and similar tools to operate the website, remember preferences, secure forms, understand usage, diagnose problems, measure performance, and—where enabled—support advertising or campaign measurement.
Essential technologies: required for core website functions, security, booking, fraud prevention, and user-requested services.
Analytics technologies: help CARMEPX understand how visitors use the website and improve performance.
Advertising technologies: may measure advertising effectiveness or personalize advertising, but will be used only in accordance with applicable notice and consent requirements.
You can adjust browser settings and, where available, use the CARMEPX cookie-preference tool. Blocking essential cookies may prevent certain booking, payment, login, or security features from working. Additional details will be provided in the CARMEPX Cookie Policy.
9. Calls, Text Messages, and Email
CARMEPX may use the contact information you provide to send service-related messages about booking confirmation, seller coordination, inspector arrival, schedule changes, report delivery, payment, refunds, customer support, account security, and other requested services.
Marketing calls or text messages, when used, will be handled under a separate consent process where required. Consent to receive marketing messages is not a condition of purchasing an inspection. You may opt out of marketing text messages by replying STOP and may request help by replying HELP. Opting out of marketing does not prevent CARMEPX from sending non-marketing messages reasonably necessary to complete an active service, provide a requested response, or comply with law. 10. Vehicle, Inspection, Photograph, and Location Data
To perform and document an inspection, CARMEPX may collect and retain vehicle photographs, video, VIN, license plate, odometer reading, diagnostic information, vehicle location, inspection address, timestamps, report findings, and location-related metadata associated with an Inspector or inspection record. This information may incidentally include people, property, documents, or surroundings visible at the inspection location.
CARMEPX uses this information to identify the vehicle, perform the purchased service, support quality control, resolve disputes, prevent fraud, verify inspection activity, improve operations, and comply with legal obligations. CARMEPX will not intentionally use precise location information for unrelated purposes without consent or another lawful basis.
11. Data Retention
CARMEPX retains personal information only for as long as reasonably necessary for the purposes described in this Policy, including to provide services, maintain reports, support warranties or dispute resolution, document consent, satisfy accounting and tax obligations, prevent fraud, preserve evidence, enforce agreements, and comply with law.
Retention periods vary by information type and may consider the duration of the Client relationship, the expected useful life of an inspection report, legal limitation periods, insurance requirements, contractual duties, security needs, and whether information is needed for an unresolved complaint, dispute, refund, chargeback, investigation, or legal hold. When retention is no longer reasonably necessary, CARMEPX will delete, deidentify, or securely dispose of the information as appropriate.
12. Data Security
CARMEPX uses reasonable administrative, technical, and physical safeguards designed to protect personal information against unauthorized access, acquisition, destruction, loss, misuse, alteration, or disclosure. These measures may include access controls, authentication, encryption where appropriate, restricted permissions, service-provider controls, backups, monitoring, and secure disposal practices.
No website, application, transmission, storage system, or security measure is completely secure. CARMEPX therefore cannot guarantee absolute security. If CARMEPX identifies a security incident requiring notice under applicable law, CARMEPX will provide legally required notices to affected persons and government authorities.
13. Your Privacy Rights and Choices
Depending on your state of residence and applicable law, you may have the right to:
- Confirm whether CARMEPX processes your personal information and access that information.
- Correct inaccurate personal information.
- Delete personal information, subject to lawful exceptions.
- Obtain a portable copy of certain information you provided to CARMEPX.
- Opt out of targeted advertising, the sale or sharing of personal information, or certain profiling that produces legal or similarly significant effects.
- Withdraw consent where processing depends on consent.
- Appeal a decision regarding a privacy request.
- Receive equal service and not be unlawfully discriminated against for exercising a privacy right.
These rights are not absolute. CARMEPX may retain or continue to process information when reasonably necessary to complete a transaction, provide a requested service, detect security incidents, prevent fraud, exercise or defend legal claims, comply with law, preserve consent or opt-out records, or satisfy another lawful exception.
14. Submitting and Appealing a Privacy Request
You may submit a privacy request through either of the following methods:

Your request should identify your name, the email address or telephone number associated with your CARMEPX interaction, the requested right, and enough information to locate the relevant records. CARMEPX may request additional information reasonably necessary to verify your identity or authority. CARMEPX will not require you to create a new account solely to submit a request.
CARMEPX will respond within the period required by applicable law. For requests governed by the Nebraska Data Privacy Act, CARMEPX will respond without undue delay and generally within forty-five days, subject to one additional forty-five-day extension when reasonably necessary and permitted by law.
If CARMEPX denies a request, the response will explain the reason when required and provide instructions for appeal. You may appeal by replying to the denial email with the subject line “Privacy Appeal” or by submitting a new request through the privacy request form and selecting “Appeal a Decision.” CARMEPX will respond to a Nebraska appeal in writing within sixty days. If the appeal is denied, CARMEPX will provide information about how to contact the appropriate state Attorney General when required.
An authorized agent may submit certain opt-out requests on your behalf where permitted by law. CARMEPX may require reasonable proof of the agent’s authority and verification of your identity.
15. Children’s Privacy
CARMEPX services are intended for adults and are not directed to children under thirteen. CARMEPX does not knowingly collect personal information online from a child under thirteen without legally required parental consent. If CARMEPX learns that it collected such information without appropriate authorization, CARMEPX will take reasonable steps to delete it. A parent or legal guardian may contact privacy@carmepx.com regarding a child’s information.
A person purchasing a CARMEPX inspection must be at least eighteen years old or otherwise legally authorized to enter the applicable agreement.
16. Third-Party Services and Links
The CARMEPX website and service may link to or integrate with third-party websites, vehicle listings, maps, payment processors, form providers, communications platforms, social networks, or other services. CARMEPX does not control those third parties’ independent privacy practices. Review their privacy notices before providing information directly to them.
17. U.S. Processing and Service Area
CARMEPX is intended primarily for users and vehicle-inspection services in the United States. Personal information may be processed and stored in the United States or in another location where an approved Service Provider operates, subject to applicable contractual and legal protections. If CARMEPX later offers services outside the United States, CARMEPX may provide additional regional privacy notices.
18. Changes to This Policy
CARMEPX may update this Privacy Policy prospectively to reflect changes in law, technology, services, Service Providers, or data practices. The updated Policy will state a new “Last Updated” date. If a change materially affects how CARMEPX uses previously collected personal information, CARMEPX will provide additional notice or obtain consent when required by law.

These Website Terms of Use (“Terms”) govern access to and use of the official CARMEPX website, web pages, forms, online content, accounts, applications, and related digital features (collectively, the “Site”). By using the Site, you agree to these Terms. If you do not agree, do not use the Site.
These Terms govern website use. A request, booking, purchase, inspection, report, refund, payment, text message, or other service may also be governed by separate CARMEPX policies. The CARMEPX Vehicle Inspection Terms of Service controls paid inspection services and inspection reports.

1. Agreement, Scope, and Order of Control
These Terms form an agreement between you and CARMEPX regarding your use of the Site. “You” means the person using the Site and any organization that person is authorized to represent. “CARMEPX,” “we,” “us,” and “our” refer only to the CARMEPX service.
The Site may provide information about CARMEPX, vehicle inspections, inspection packages, scheduling, reports, vehicle listings, educational material, customer support, and related services. These Terms do not replace service-specific agreements.
If these Terms conflict with another CARMEPX agreement, the following order controls for the specific subject matter: (1) a separately signed written agreement; (2) the CARMEPX Vehicle Inspection Terms of Service and package-specific booking terms; (3) the applicable payment, refund, scheduling, report-use, SMS, or inspection policy; and (4) these Website Terms of Use. The CARMEPX Privacy Policy governs personal-information practices.
2. Eligibility and Authority
The Site is not directed to children under thirteen. You must be at least eighteen years old, or the age of legal majority in your jurisdiction, to create an account, submit a paid booking, or enter a binding service agreement. The Site and inspection services are intended primarily for users in the United States.
If you use the Site for a company, dealership, seller, buyer, lender, insurer, repair facility, or another person, you represent that you are authorized to act for that person or organization. You may not use the Site for an unlawful, fraudulent, deceptive, or unauthorized purpose.
3. Limited Permission to Use the Site
Subject to these Terms, CARMEPX grants you a limited, revocable, nonexclusive, nontransferable permission to access and use the Site for lawful personal or internal business purposes related to evaluating, requesting, purchasing, receiving, or learning about CARMEPX services.
This permission does not transfer ownership of the Site or any CARMEPX content. CARMEPX may revoke or restrict access when reasonably necessary to protect the Site, users, services, intellectual property, safety, or legal rights.
4. Accounts and Security
If CARMEPX offers accounts, you must provide accurate information and keep login credentials confidential. You are responsible for activity conducted through your account unless caused by CARMEPX’s failure to use reasonable security. Notify CARMEPX promptly if you suspect unauthorized access, credential theft, or misuse.
CARMEPX may require identity verification, multifactor authentication, password reset, or other security measures. CARMEPX may suspend an account that appears compromised, fraudulent, inactive, abusive, or inconsistent with these Terms.
5. Bookings, Payments, and Inspection Services
Submitting a form, requesting an appointment, or beginning checkout does not guarantee acceptance, availability, a particular Inspector, or completion at a particular time. A booking is accepted only as described in the CARMEPX Vehicle Inspection Terms of Service and booking confirmation.
Prices, taxes, service areas, appointment windows, packages, promotional offers, payment methods, cancellation rules, refunds, trip fees, and report delivery are governed by the applicable service policies and the terms shown at booking. You must review and affirmatively accept the required service terms before payment.
Nothing on the Site creates a warranty, insurance policy, repair obligation, guarantee of vehicle condition, or promise that CARMEPX will identify every defect.
6. Website Information and No Reliance
CARMEPX may provide general information about vehicle inspections, used vehicles, common defects, diagnostic systems, scheduling, pricing, service areas, and purchasing considerations. This content is provided for general informational purposes and may not be complete, current, or applicable to every vehicle or transaction.
Website content is not legal, financial, tax, insurance, engineering, manufacturer, title, repair, safety, emissions, valuation, or investment advice. You should obtain advice from an appropriately qualified professional when a decision requires specialized expertise.
A sample report, checklist, photograph, video, illustration, rating, testimonial, or educational article does not define the scope of a purchased inspection and does not guarantee that another vehicle will have the same condition or result.
7. Vehicle Listings and Third-Party Information
The Site may display or link to vehicle advertisements, listings, photographs, specifications, prices, inspection status, seller information, vehicle-history information, or other material supplied by a Seller, dealership, marketplace, public source, or Service Provider.
Unless CARMEPX expressly states otherwise in a written agreement, CARMEPX is not the owner, dealer, seller, auctioneer, broker, lender, insurer, transporter, repairer, or guarantor of a listed vehicle. CARMEPX does not guarantee that third-party information is accurate, complete, current, lawful, or free from errors, fraud, omissions, liens, title problems, prior damage, or changed vehicle condition.
A label such as “Inspected,” “Inspection Complete,” “Report Available,” “CARMEPX Inspected,” or similar wording means only that a CARMEPX inspection process was completed to the extent stated in the associated report. It does not mean the vehicle is government-certified, manufacturer-certified, defect-free, safe for every use, or guaranteed by CARMEPX. A vehicle shown as “Not Inspected” has not received the identified CARMEPX inspection and must not be represented as approved by CARMEPX.
You must independently verify the Seller, VIN, title, ownership, liens, recalls, mileage, price, condition, insurance eligibility, financing, registration, and any other material transaction information.
8. User Submissions, Reviews, and Feedback
The Site may allow you to submit forms, messages, photographs, documents, reviews, testimonials, comments, corrections, or other material (“User Content”). You retain ownership of User Content you lawfully own.
By submitting User Content, you grant CARMEPX a nonexclusive, worldwide, royalty-free license to host, store, reproduce, format, transmit, and use it as reasonably necessary to provide the requested service, operate the Site, maintain records, prevent fraud, enforce agreements, resolve disputes, and comply with law. CARMEPX will not use a customer’s name, likeness, private report, or testimonial in public marketing without permission where consent is required.
You represent that your User Content is accurate to the best of your knowledge, that you have the right to submit it, and that it does not violate another person’s privacy, intellectual-property, contractual, property, or other legal rights.
Feedback or suggestions about CARMEPX may be used without compensation or restriction, provided CARMEPX does not publicly identify you without permission where required.
9. Prohibited Conduct
You may not, directly or through another person:
- Use the Site for fraud, deception, impersonation, harassment, discrimination, stalking, threats, unlawful surveillance, trespass, or any illegal purpose.
- Submit false booking, billing, vehicle, Seller, ownership, authorization, location, or contact information.
- Attempt to obtain an inspection without the permission reasonably required from the vehicle owner, Seller, dealership, or property controller.
- Interfere with the Site, security features, forms, payment systems, accounts, networks, servers, or another user’s access.
- Introduce malware, malicious code, automated attacks, excessive traffic, scraping, bots, crawlers, or data-mining tools without written permission.
- Attempt to bypass access restrictions, obtain source code, reverse engineer, decompile, or exploit the Site except to the limited extent a prohibition is not permitted by law.
- Copy, republish, resell, modify, remove warnings from, or misrepresent a CARMEPX report, badge, score, photograph, checklist, or website content.
- Use CARMEPX branding to state or imply that a vehicle, Seller, dealership, product, service, or person is endorsed, certified, warranted, partnered with, or approved by CARMEPX without written authorization.
- Collect personal information about another person from the Site without lawful authority.
- Use the Site or CARMEPX content to train, develop, benchmark, or operate a competing automated system, dataset, inspection product, or commercial service without written permission.
- Submit unlawful, infringing, defamatory, obscene, deceptive, or privacy-invasive content.
10. Intellectual Property
The Site and its content—including the CARMEPX name, logos, slogans, layouts, text, graphics, videos, software, forms, inspection methodology, checklists, scoring systems, report templates, photographs created by CARMEPX, databases, and other materials—are owned by or licensed to CARMEPX and are protected by intellectual-property laws.
Except for the limited permission granted in these Terms or a specific report license, you may not copy, reproduce, modify, distribute, display, perform, publish, license, sell, create derivative works from, or commercially exploit CARMEPX content without prior written permission.
CARMEPX trademarks and branding may not be used in a domain name, business name, advertising keyword, social-media account, listing, certification claim, or promotional material in a manner likely to create confusion, imply endorsement, or misrepresent affiliation.
11. Third-Party Services and Links
The Site may use or link to third-party payment, mapping, scheduling, form, communications, analytics, social-media, vehicle-history, advertising, or other services. CARMEPX does not control and is not responsible for a third party’s independent content, availability, accuracy, security, terms, privacy practices, products, or conduct.
A link or integration does not mean CARMEPX endorses the third party. Your use of a third-party service may be governed by separate terms between you and that provider.
12. Communications and Electronic Records
You consent to receive electronic records, notices, confirmations, reports, invoices, policy updates, and service communications at the email address, telephone number, account, or other contact method you provide, subject to applicable law and the CARMEPX Call & Text (SMS) Consent Policy.
You are responsible for maintaining accurate contact information and for checking spam, blocked-message, and account settings. Electronic acceptance, including selecting an unchecked agreement box, may have the same legal effect as a handwritten signature where permitted by law.
13. Privacy and Cookies
CARMEPX’s collection, use, disclosure, retention, and protection of personal information is described in the CARMEPX Privacy Policy. Cookie and tracking practices are further described in the CARMEPX Cookie Policy. By using the Site, you acknowledge those notices and may exercise available privacy choices as described in them.
14. Accessibility
CARMEPX seeks to provide a website and digital service that are usable by people with disabilities. If you encounter an accessibility barrier or need reasonable assistance to access information or request a service, contact CARMEPX through the accessibility or customer-support method published on the Site. Additional information appears in the CARMEPX Accessibility Statement.
15. Site Availability, Changes, and Errors
CARMEPX may change, update, suspend, restrict, or discontinue any Site feature, content, service area, package, price, integration, account feature, or digital tool prospectively. CARMEPX does not guarantee uninterrupted, error-free, or continuously available access.
The Site may contain typographical errors, outdated information, broken links, technical defects, or incorrect pricing. CARMEPX may correct errors and cancel or revise a transaction affected by a material error, subject to applicable law and any refund obligations. A confirmed service purchase will not be materially reduced without the Client’s agreement or an appropriate remedy.
16. Disclaimer of Warranties
TO THE MAXIMUM EXTENT PERMITTED BY LAW, THE SITE AND GENERAL WEBSITE CONTENT ARE PROVIDED “AS IS” AND “AS AVAILABLE.” CARMEPX DISCLAIMS EXPRESS, IMPLIED, AND STATUTORY WARRANTIES RELATING TO THE SITE, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, NON-INFRINGEMENT, ACCURACY, AVAILABILITY, SECURITY, AND QUIET ENJOYMENT.
CARMEPX DOES NOT WARRANT THAT THE SITE WILL BE UNINTERRUPTED, ERROR-FREE, SECURE, FREE OF HARMFUL COMPONENTS, OR COMPATIBLE WITH EVERY DEVICE, BROWSER, NETWORK, OR ASSISTIVE TECHNOLOGY. SERVICE-SPECIFIC WARRANTIES AND DISCLAIMERS, INCLUDING THE VEHICLE-INSPECTION SNAPSHOT RULE, ARE GOVERNED BY THE CARMEPX VEHICLE INSPECTION TERMS OF SERVICE.
Some jurisdictions do not allow certain warranty exclusions. In those jurisdictions, the exclusions apply only to the maximum extent permitted by law.
17. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, CARMEPX AND ITS OWNERS, OFFICERS, EMPLOYEES, CONTRACTORS, INSPECTORS, AGENTS, AFFILIATES, LICENSORS, AND SERVICE PROVIDERS WILL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, CONSEQUENTIAL, SPECIAL, EXEMPLARY, OR PUNITIVE DAMAGES; LOSS OF PROFITS, REVENUE, DATA, BUSINESS, GOODWILL, OR USE; OR DAMAGES ARISING FROM THIRD-PARTY CONTENT, VEHICLE LISTINGS, SELLER CONDUCT, UNAUTHORIZED ACCESS, WEBSITE INTERRUPTION, MALWARE, DEVICE DAMAGE, OR RELIANCE ON GENERAL WEBSITE CONTENT.
For a claim arising solely from use of the Site and not governed by the CARMEPX Vehicle Inspection Terms of Service or another written agreement, CARMEPX’s aggregate liability will not exceed the greater of one hundred dollars ($100) or the amount you paid directly to CARMEPX for the Site-related feature giving rise to the claim during the twelve months before the event, to the maximum extent permitted by law.
For a claim connected to a booking, inspection, payment, refund, report, or other purchased service, the liability provisions in the applicable service agreement control. Nothing in these Terms excludes liability that cannot lawfully be excluded, including rights that applicable consumer law does not permit a business to waive.
18. Indemnification
To the maximum extent permitted by law, you agree to defend, indemnify, and hold harmless CARMEPX and its owners, officers, employees, contractors, Inspectors, agents, affiliates, licensors, and Service Providers from third-party claims, losses, liabilities, damages, judgments, penalties, and reasonable legal expenses arising from your unlawful conduct, material breach of these Terms, false information, lack of authorization, infringement of another person’s rights, misuse or alteration of CARMEPX content or reports, or User Content you submit.
This section does not require you to indemnify CARMEPX for liability caused solely by CARMEPX’s own gross negligence, willful misconduct, or other conduct that applicable law does not permit CARMEPX to shift to you.
19. Suspension and Termination
CARMEPX may suspend, limit, or terminate Site access, an account, or a pending request when reasonably necessary because of fraud, abuse, threats, unlawful conduct, security risk, nonpayment, chargeback abuse, false information, interference, repeated policy violations, or legal requirements.
Termination of Site access does not automatically cancel a completed transaction, eliminate payment obligations, revoke a report license already granted, or affect provisions that by their nature should survive, including intellectual-property, disclaimers, liability limits, indemnification, dispute, and recordkeeping provisions.
20. Disputes, Governing Law, and Venue
A dispute connected to a booking, paid inspection, payment, refund, report, or affirmative acceptance of the CARMEPX Vehicle Inspection Terms of Service is governed by the dispute-resolution, arbitration, class-action waiver, jury-waiver, governing-law, and venue provisions in that agreement.
For a dispute arising solely from general Site use and not governed by another CARMEPX agreement, the complaining party must first send a written notice describing the dispute, relevant facts, requested relief, and supporting documents through the legal or support contact method published on the Site. The parties will attempt in good faith to resolve the dispute informally for thirty days before filing suit, unless immediate relief is reasonably necessary or law requires a different process.
Such a Site-only dispute is governed by Nebraska law, without regard to conflict-of-law rules, except that a consumer retains any non-waivable protection provided by the law of the consumer’s residence. Subject to mandatory venue law, a court proceeding must be brought in a state or federal court with jurisdiction in Douglas County, Nebraska. TO THE MAXIMUM EXTENT PERMITTED BY LAW, THE PARTIES WAIVE TRIAL BY JURY FOR A SITE-ONLY DISPUTE.
Nothing prevents a person from submitting a complaint to a government agency or law-enforcement authority. Nothing in these Terms waives a right that applicable law makes non-waivable.
21. Changes to These Terms
CARMEPX may update these Terms prospectively. The updated version will state a new effective date. Changes govern Site use after the effective date and will not retroactively alter the terms governing a completed paid booking without legally sufficient agreement.
If a material change affects an account or ongoing service, CARMEPX may provide additional notice through the Site, account, email, text message, or another reasonable method.
22. General Provisions
Severability: If a provision is unlawful, invalid, or unenforceable, it will be enforced to the maximum lawful extent and the remaining provisions will continue in effect.
No waiver: A failure or delay in enforcing a provision is not a waiver. A waiver must be in writing and applies only to the identified circumstance.
Assignment: You may not transfer these Terms or Site access rights without CARMEPX’s written consent. CARMEPX may assign these Terms in connection with a financing, reorganization, merger, sale, transfer of assets, or transfer of the CARMEPX service, subject to applicable law.
No third-party beneficiaries: These Terms do not create rights for a Seller, dealership, lender, insurer, repair facility, vehicle owner, subsequent buyer, or other third party.
Entire agreement: These Terms and the policies incorporated by reference form the complete agreement regarding general Site use, subject to the order-of-control rule in Section 1.
Headings: Headings are for convenience and do not limit meaning. “Including” means including without limitation.
Survival: Provisions concerning intellectual property, disclaimers, liability limits, indemnification, disputes, and general contract interpretation survive termination to the extent necessary to give them effect.
